If Lark, LLC brings an action for breach of contract, may the company bring that action in Maryland, where the company is located?

The answer depends on several factors. First, Lark needs to look at the contract. Often, contracts have venue/forum selection clauses, requiring disputed to be litigated in specific forums.

If there is no forum selection clause in the contract, the next factor is whether the Court in Maryland can obtain jurisdiction over the party that Lark wants to sue. This typically means that that party must own property in that jurisdiction to be doing business in it.
